Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DIFENERGY Confluence Pro platform and related services (the "Service") provided by DIFENERGY ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

DIFENERGY Confluence Pro is a subscription-based geopolitical intelligence and market research platform. The Service includes access to the Confluence Pro dashboard, GPSE hotspot analysis, AI-powered War Room analysis, weekly intelligence briefings, and related features as described at difenergy.io.

The Service is intended for sophisticated investors, traders, and market professionals who understand that geopolitical analysis does not guarantee investment outcomes.

2. Not Investment Advice

The Service does not constitute investment advice, financial advice, trading advice, or any other form of professional financial guidance. All content, analysis, signals, and commentary provided through the Service — including but not limited to GPSE threat assessments, War Room AI responses, cascade scenarios, and trading verdicts — are for informational and research purposes only.

Nothing in the Service should be construed as a recommendation to buy, sell, or hold any security, commodity, currency, or other financial instrument. You are solely responsible for your investment decisions. We strongly encourage you to consult a licensed financial advisor before making any investment decisions.

Past geopolitical events and their market outcomes discussed in the Service are not indicative of future results.

3. Subscription and Billing

• Access to the Service requires a paid annual subscription.
• Subscription fees are billed annually in advance on your subscription anniversary date.
• Payment is processed securely by Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring annual basis until you cancel.
• All fees are stated in US dollars and are non-refundable except as described in Section 4 below.
• We reserve the right to change subscription pricing. You will be notified of any price change at least 30 days before your next renewal date. Continued use of the Service after your renewal date at the new price constitutes acceptance.

4. Cancellation and Refunds

• You may cancel your subscription at any time by emailing support@difenergy.io.
• Upon cancellation, your access to the Service will continue until the end of your current annual billing period. We do not provide prorated refunds for unused portions of a subscription period.
• Refund requests will be considered on a case-by-case basis. To request a refund, email support@difenergy.io within 14 days of your billing date. We will respond within one business day.
• We reserve the right to terminate your account for violation of these Terms without refund.

5. Acceptable Use

You agree not to:

• Share, resell, sublicense, or distribute access to the Service or any content therein to any third party without our express written permission.
• Use the Service to develop competing products or services.
• Scrape, crawl, or systematically extract content from the Service by automated means.
• Attempt to circumvent, disable, or interfere with security features of the Service.
• Use the Service in any manner that violates applicable laws or regulations, including securities laws.
• Reproduce, republish, or distribute DIFENERGY intelligence reports, analysis, or proprietary content without authorization.
• Attempt to extract, reverse-engineer, or reproduce AI system prompts or proprietary methodology.

6. Intellectual Property

All content, analysis, design, methodology, software, and materials made available through the Service are the exclusive property of DIFENERGY or its licensors and are protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for your personal research and investment purposes only.

7. AI-Generated Content

The Service includes AI-powered features such as the War Room and automated GPSE intelligence refresh. AI-generated analysis is produced by large language models and may contain errors, omissions, or outdated information. We do not warrant the accuracy, completeness, or timeliness of AI-generated content. You should independently verify any AI-generated analysis before relying on it.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIFENERGY AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any feature thereof) at any time with reasonable notice. We may update these Terms periodically. We will notify active subscribers of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date of updated Terms constitutes your acceptance.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.
